9. Resubmission Policy: You may resubmit a revised or new Submission if it aligns with the feedback provided (if any).

10. No Further Obligations: SPARKi (M/s Skyiris Infotech Media Private Limited) has no obligation to return, store, or safeguard non-accepted Submissions.

 

4. Rewards for Accepted Submissions

1. If your Submission is accepted, you will receive a monetary reward as compensation for transferring all rights associated with the Submission to us.

2. The exact amount of the reward will be determined based on factors such as the originality, market potential, and applicability of your Submission. The reward amount will be communicated to you prior to finalizing the transfer of rights.

3. Payments will be processed in accordance with our payment policies and may be subject to applicable taxes and deductions as required by law.

4. Notification of Payment: If accepted, you will receive formal communication regarding the reward and payment method.

5. Payment Terms: Payments will be processed within 15 days of acceptance using the payment details you provide.

6. You acknowledge that acceptance of the monetary reward constitutes full and final compensation for your Submission, and no further claims for compensation, royalties, or other benefits will be entertained.

 

5. Intellectual Property Rights

1. Upon acceptance of your Submission and receipt of payment, you irrevocably assign and transfer all intellectual property rights, including but not limited to copyrights, patents, trademarks, and moral rights, to SPARKi (M/s Skyiris Infotech Media Private Limited).

2. Once the transfer of rights is complete, you will no longer have any ownership, control, or claim over the Submission

3. You agree to cooperate with us to execute any necessary documentation required to effectuate the transfer of rights

6. Ownership and Warranties

6.1 By submitting your content or idea, you represent and warrant that:

• The Submission is your original work and does not infringe upon any intellectual property rights or other rights of third parties.

• You have full legal authority to submit the content or idea and transfer the associated rights to us.

• The Submission does not contain any confidential or proprietary information of third parties.

• The Submission complies with all applicable laws and regulations.

6.2 You agree to indemnify and hold harmless SPARKi and its affiliates, officers, and employees from any claims, damages, or expenses arising from a breach of these warranties.

 

7. Confidentiality and Use of Submissions

7.1 While we endeavor to handle Submissions responsibly, you acknowledge that we are under no obligation to keep your Submission confidential during the review process.

7.2 Publicly Available Content: Submissions made through public forums or visible platforms on the Website will not be treated as confidential.

7.3 Pre-Existing Similarities: You acknowledge that similar ideas may already exist within SPARKi (M/s Skyiris Infotech Media Private Limited) portfolio or pipeline.

7.4 We reserve the right to use, display, modify, and disseminate your Submission for the purposes of evaluation and integration into our products, services, or business operations.

7.5 If your Submission is not accepted, we will not use or claim ownership of your Submission. You retain full rights to your work in such cases.

10.5 Survival of Terms: Sections relating to intellectual property transfer, representations and warranties, and indemnification shall survive termination.

11. Limitation of Liability

11.3 Maximum Liability: The total liability of SPARKi (M/s Skyiris Infotech Media Private Limited) for any claim shall not exceed the reward amount paid for the Submission.

12.1 These Terms are governed by the laws of Haryana, India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Jagadhri, Yamunanagar.

12.2 You agree to attempt to resolve any disputes through amicable negotiation before pursuing legal remedies.

13. Miscellaneous

13.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
